These Terms of Service ("Terms") form a legally binding agreement between you (and the organisation you represent) and Hayasa ("Hayasa", "we", "us", or "our") governing your access to and use of the Hayasa website at hayasa.ai and the Hayasa GTM talent sourcing and outreach platform (together, the "Service"). By creating an account or using the Service, you agree to these Terms in full. If you do not agree, do not use the Service.

Hayasa provides a software platform that enables hiring teams at technology companies to source, qualify, and contact go-to-market (GTM) talent candidates across LinkedIn and other third-party data sources, and to run email and LinkedIn outreach sequences. The Service includes AI-powered candidate match scoring, always-on sourcing agents, and integrations with applicant tracking systems (ATS).
We may update, modify, or discontinue features of the Service at any time. We will give reasonable notice of material changes that affect paid plans.
Eligibility. You must be at least 18 years old and authorised to enter into a binding contract on behalf of your organisation (if applicable) to use the Service.
Account registration. You must provide accurate and complete information when creating your account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Workspaces. A workspace is a shared environment inside Hayasa associated with a single billing account. You may invite team members to your workspace. You are responsible for all actions taken by members of your workspace.
One workspace per organisation. You may not create multiple free workspaces to circumvent plan limits. Violation of this clause may result in immediate account suspension.

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.
Plans. The Service is available on a Free plan and paid subscription plans (Growth and Scale) as communicated by Hayasa. Plan features and limits are subject to change with reasonable notice.
Billing. Paid plans are billed in advance on a monthly or annual basis. By providing payment details, you authorise us to charge the applicable fees at the start of each billing period.
Free trial. Where a free trial is offered, you will not be charged until the trial period ends. You may cancel before the trial ends to avoid being charged.
Upgrades and downgrades. Upgrades take effect immediately. Downgrades take effect at the end of the current billing period. No refunds are issued for unused portions of a billing period on downgrade.
Refunds. Subscription fees are non-refundable except where required by applicable law or at our sole discretion. If you believe you have been charged in error, contact billing@hayasa.ai within 30 days of the charge.
Taxes. Stated prices are exclusive of applicable taxes. You are responsible for any taxes, levies, or duties applicable to your subscription in your jurisdiction.
Ownership. You retain ownership of all content you submit to the Service, including search queries, role briefs, outreach sequences, candidate notes, and workspace data ("Customer Data").
Licence to Hayasa. You grant Hayasa a limited, non-exclusive licence to process your Customer Data solely for the purpose of providing and improving the Service. We do not use your Customer Data to train AI models shared with other customers without your explicit consent.
Data export. You may export your Customer Data at any time while your account is active. On account deletion, we will provide an export window of 30 days before data is purged.
Lawful basis. You are responsible for ensuring that your use of candidate data and outreach features complies with applicable data protection law (including GDPR, CCPA, and equivalents) in your jurisdiction and in the jurisdiction of each candidate you contact.
Opt-outs. You must honour candidate opt-out and unsubscribe requests promptly. Hayasa provides built-in unsubscribe handling for email sequences. For LinkedIn, you must respect "I'm not interested" signals and cease contact.
Accuracy of outreach. You are solely responsible for the accuracy and truthfulness of outreach messages sent through the Service. Hayasa does not review outreach content for legal compliance.
Volume limits. LinkedIn outreach through Hayasa operates at human-paced volumes to protect your LinkedIn account. Attempting to override these limits or use the Service in ways that violate LinkedIn's Terms of Service is prohibited and may result in your account being suspended.
The Service, including its software, design, algorithms, match-scoring models, and all associated intellectual property, is and remains the exclusive property of Hayasa. These Terms do not grant you any rights in the Service other than the limited licence to use it as described here.
If you provide feedback or suggestions about the Service, you grant us an irrevocable, royalty-free licence to use that feedback without restriction or attribution.
The Service integrates with third-party services including LinkedIn, Google Workspace, Microsoft Outlook, Greenhouse, Lever, Ashby, Apollo, and others. Your use of those integrations is subject to the respective third party's terms of service. Hayasa is not responsible for the availability, accuracy, or conduct of third-party services.
Each party agrees to keep the other's confidential information (including pricing, product roadmap, and business data disclosed in connection with the Service) confidential and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of these Terms for three years.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE CANDIDATE DATA PROVIDED IS COMPLETE OR ACCURATE.
HIRING OUTCOMES (INCLUDING TIME TO HIRE, CANDIDATE QUALITY, AND REPLY RATES) DEPEND ON MANY FACTORS OUTSIDE OUR CONTROL. STATED BENCHMARKS (E.G. "3 WEEKS TO HIRE", "3× REPLY RATE") ARE AVERAGES AND ARE NOT GUARANTEED.
TO THE FULLEST EXTENT PERMITTED BY LAW, HAYASA'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO HAYASA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
IN NO EVENT SHALL HAYASA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless Hayasa and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your outreach communications sent through the Service; (c) your violation of any applicable law; or (d) your infringement of any third-party rights.
Term. These Terms apply from the date you first use the Service and continue until terminated.
Termination by you. You may cancel your subscription at any time from your workspace settings. Cancellation takes effect at the end of the current billing period for paid plans.
Termination by Hayasa. We may suspend or terminate your account immediately if you breach these Terms, fail to pay applicable fees, or if required by law. We will give reasonable notice where practical.
Effect of termination. On termination, your right to use the Service ceases immediately. Sections 5 (Customer Data export window), 7, 9, 10, 11, 12, and 14 survive termination.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), with the seat of arbitration in San Francisco, California. Notwithstanding this, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or an in-app notification before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription before they take effect.
